FIDIC红皮书:国际工程中的文件及文件管理(一)
国际工程中的文件大致包含两类，一是合同，二是项目执行文件。本文首先对合同进行明确。
FIDIC红皮书第1.1.10条针对国际工程中的合同进行定义：
“Contract” means the Contract Agreement, the Letter of Acceptance, the Letter of Tender, any addenda（附录）referred to in the Contract Agreement, these Conditions, the Specification, the Drawings, the Schedules, the Contractor’s Proposal, the JV Undertaking(if applicable) and the further documents (if any) which are listed in the Contract Agreement or in the Letter of Acceptance.
具体而言，国际工程中的合同包含以下内容：
（一）合同协议书（Contract agreement）
在竞争性公开招标的工程中，习惯上采用业主发布招标文件（要约邀请），承包商据此投标（要约），业主颁发中标函（承诺）的方式订立合同。但，工程合同的文件较为庞杂，合同协议书的签订起到归纳总结、统一合同文本的作用。
1.1.11 “Contract agreement” means the agreement entered into by both Parties in accordance with Sub-Clause 1.6 [Contract Agreement].
l 内容：
-
整个合同协议书中包含的全部文件中的术语具有合同条件中定义的含义；
-
构成整个工程合同的全部文件的清单；
-
说明合同的约因：即承包商保证按合同实施工程，业主按合同约定支付承包商工程款。
l 承包商在收到中标函后35天内签订合同协议书。【相较于1999年版的27天，签约时间有所延长，系考虑到实践中多方参与、完成前置程序时间长的现状】
l 如果承包商为联营体，各方授权代表均需在合同协议书上签字。【实践中，会出现牵头方根据联营体协议或单独授权，代表联营体成员全体签字的情况，】
（二）中标函（Letter of Acceptance）
是指：业主对承包商投标函的正式接收函，经过签字；
包含双方商定的其他内容【业主如果发现投标函中有不清楚或者错误的地方，可以要求投标人澄清和确认，但不能要求投标人降价或者提供其他优惠条件】，作为备忘录附在中标函的后面。
1.1.50 “Letter of Acceptanc” means the letter of formal acceptance, signed by the Employer, of the Letter of Tender, including any annexed memoranda comprising agreements between and signed by both Parties. If there is no such letter of acceptance, the expression “Letter of Acceptance” means the Contract Agreement and the date of issuing or receiving the Letter of Acceptance means the date of signing the Contract Agreement.

投标函（Letter of Tender）
作为投标书（Tender）的核心部分，一般是业主事先将格式拟定好，并包括在投标文件中，由承包商填写，作为正式报价函。
1.1.51 “Letter of Tender” means the letter of tender, signed by the Contractor, stating the Contractor’s offer to the Employer for the execution of the Works.
（四）规范（Specification）
对业主招标的项目从技术方面进行详细描述，提出执行过程中的技术标准和程序等。
1.1.76 “Specification”means the document entitled specification included in the Contract, and any additions and modifications to the specification in accordance with the Contract. Such document specifies the Works.

图纸（Drawings）
合同中规定的图纸，或者在工程实施过程中业主方对图纸的补充和修改。
惯例做法：即使是施工合同，也有可能包含某些工程部分的设计深化工作。即在业主方提供图纸的基础上，承包商负责制作施工详图或制造详图（detail drawing /shop drawing）。
1.1.30 “Drawings” means the drawings of the Works included in the Contract, and any additional and modified drawings issued by (or on behalf of) the Employer in accordance with the Contract.

数据表（Schedules）
包含合同中常出现的若干类以列表形式表示的文件。招标文件中，一般由业主提供这些表格的空白形式，由投标人在投标时填写。
1.1.71 “Schedules” means the document(s) entitled schedules prepared by the Employer and completed by the Contractor, as attached to the Letter of Tender and included in the Contract. Such document(s) may include data, lists and schedules of payments and/or rates and prices, and guarantees.

投标书（Tender）
投标时，投标人交给业主的且构成合同的全部文件的总称。
完整的投标文件通常包括投标书和其他辅助部分的文件。
投标书可以分为两个部分：投标函，和投标者填写完的各类数据表（如工程量表、计日工表、单价分析表），投标保函等。
辅助部分的文件是指，业主要求投标着提供的其他信息，例如工程初步进度计划、施工方法总说明、分包计划、劳动构成、关键职员名单。
辅助部分不一定构成合同文件，看合同具体约定。
1.1.81 “Tender” means the Letter of Tender, the Contractor’s Proposal, the JV Undertaking (if applicable), and all other documents which the Contractor submitted with the Letter of Tender, as included in the Contract.
（八）
投标函附录（Appendix to Tender）
附在投标函后面并构成投标函的一部分，合同条件中的核心内容简单列出，并在合同条件中相对应的条款号。内容大部分由业主确定，小部分由承包商填写。
承包商可以通过业主规定的数据看出业主提出的条件是否苛刻、资金是否充裕。——承包商应当重点研究。
（九）工程量单（Bill of Quantities）和计日工表（Daywork Schedule）
1.1.5 “Bill of Quantities” means the document entitled bill of quantities (if any) included in the Schedules.
1.1.26 “Daywork Schedule” means the document entitled daywork schedule (if any) included in the Contract, showing the amounts and manner of payments to be made to the Contractor for labour, materials and equipment used for daywork under Sub-Clause 13.5 [Daywork].
