第1条 营销区域和产品
Article 1 Territory and Products
1.1 制造商指定代理商作为其商业销售代表，在土耳其区域内（下文称作“营销区域”）推广 360 度投影系统、动画制作及软件（下文称作“产品”）的销售。
1.1 The Principal appoints the Representative as its commercial sales representative to promote the sale of 360 Degree Projection Systems, Animation Production and Software (hereinafter called the “Products”) within the territory of Turkey (hereinafter called the “Territory”).
1.2 如制造商决定在营销区域内销售任何其他产品，应告知代理商，以便讨论将该等产品纳入第 1.1 条所规定产品范围的可能性。但是，如果鉴于新产品的特性及代理商的专业领域，认定代理商不可能销售该等产品（例如属于完全不同领域的产品），则上述告知义务不适用。
1.2 If the Principal decides to sell any other products in the Territory, it shall inform the Representative in order to discuss the possibility of including them within the Products defined under Article 1.1. However, the above obligation to inform the Representative shall not apply if, in consideration of the characteristics of the new products and the Representatives professional expertise, it is determined that the Representative is unlikely to sell such products (e.g., products in a completely different field).
第3条 代理商的职责
Article 3 Representative’s Functions
3.1 代理商应尽最大努力，按照制造商的合理指示在营销区域内推广产品销售，并以尽职商人的勤勉保护制造商的利益。
3.1 The Representative agrees to use its best endeavours to promote the sale of the Products in the Territory in accordance with the Principal’s reasonable instructions and shall protect the Principal’s interests with the diligence of a responsible businessman.
3.2 除非得到制造商允许，代理商不得向营销区域外的客户招揽订单。
3.2 The Representative shall not solicit orders from outside the Territory unless permitted to do so by the Principal.
3.3 除非另有明确约定，代理商无权代表制造商委任次级代理商，亦无权以任何方式对第三方构成制造商之约束。
3.3 Unless otherwise specifically agreed, the Representative has no authority to appoint sub‑representatives on behalf of the Principal, nor to bind the Principal in any way towards third parties.
第4条 制造商接受订单
Article 4 Acceptance of Orders by the Principal
4.1 对于产品范围之外的特殊产品，制造商应毫不迟延地告知代理商其接受或拒绝代理商转交的订单。制造商可自行决定接受或拒绝代理商转交的任何个别订单。
4.1 For special products that are outside the scope of the Products, the Principal shall inform the Representative without undue delay of its acceptance or rejection of the orders transmitted by the Representative. The Principal may accept or reject any individual order transmitted by the Representative at its own discretion.
第6条 营销组织、广告和贸易洽谈会
Article 6 Sales organization, Advertising and Fairs
6.1 代理商应建立并维持具备必要人员和设备的销售组织，并在适当时提供售后服务，以确保在整个营销区域内履行其在本合同项下的义务。
6.1 The representative shall establish and maintain an adequate organization for sales and, where appropriate, after-sales service, with all necessary means and personnel, in order to ensure the fulfillment of the representative’s obligations throughout the Territory under this agreement.
6.2 双方可以就在营销区域内共同进行的广告活动协商一致。广告内容应告知制造商并征得其认可。广告费用应由代理商承担。
6.2 The parties may agree on the advertising to be jointly made in the Territory. The contents of advertising shall be informed to and agreed by the Principal. The cost of advertising carried out by the representative shall be borne by the representative.
第7条 营销目标－保证完成的最低目标
Article 7 Sales targets - Guaranteed Minimum target
7.1 双方每年可以就下一年的销售目标协商一致。
7.1 The parties may agree annually on the sales targets for the forthcoming year.
7.2 双方应尽最大努力达成协商一致的目标。但一方未达到目标不应视为违反合同，除非该方存在明显过错。
7.2 The parties shall make their best efforts to attain the targets agreed upon, but the non-attainment shall not be considered as a breach of the contract by a party, unless that party is clearly at fault.
7.3 代理商可以同意以保证完成三个产品项目作为第一年十二个月期间的最低目标。
7.3 The representative may agree to guarantee three (3) projects of products as the Minimum Target for the first year of twelve (12) months.
第8条 分销商
Article 8 Sub-distributor
制造商同意代理商可以借助分销商开展业务，但代理商应对其分销商的活动及所有行为负责。
The Principal agrees that the representative may carry out its activity with recourse to sub-distributors, but the representative shall be responsible for its sub-distributors’ activities and all acts.
第9条 制造商知情权
Article 9 Principal to be kept informed
9.1 代理商应尽到合理努力，使制造商了解其活动、市场状况以及营销区域内的竞争情况，并应回答制造商提出的任何合理信息请求。
9.1 The representative shall exercise due diligence to keep the Principal informed about its activities, market conditions and the state of competition within the Territory. The representative shall answer any reasonable request for information made by the Principal.
9.2 代理商应尽到合理努力，使制造商了解在营销区域内适用且产品必须遵循的法律法规（如进口规则、标签、技术规范、安全要求等），以及与代理商活动相关且对制造商有影响的法律法规。
9.2 The representative shall exercise due diligence to keep the Principal informed about the laws and regulations that apply in the Territory to which the Products must conform (e.g., import regulations, labeling, technical specifications, safety requirements, etc.) and the laws and regulations concerning the representative’s activity, as far as they are relevant for the Principal.
第10条 产品价格
Article 10 Product Price
对于每个单项项目的询价，订单和发货单中的价格与制造商书面确认并提供的报价具有同等效力。代理商有权就公开招标或批发报价中的最终报价进行谈判，且经制造商同意后，价格应包含本合同项下的一般或有费用。
The price for each individual project inquiry shall be as valid as that set forth in the order and invoice, which has been confirmed and offered in writing by the principal. The representative shall have the right to negotiate the final price in public tenders or wholesale offers, and, with the principal’s consent, such price shall cover general contingencies involved in this Agreement.
第11条 付款条件
Article 11 Terms of Payment
11.1 合同价款应通过以制造商为受益人、100%保兑的不可撤销信用证支付。该信用证须在订单下达时开立并保兑，且在提交单据时即期付款。
11.1 Payment of the contract price shall be made by an irrevocable and confirmed letter of credit in favor of the principal for 100% of the contract value. The letter of credit shall be opened and confirmed at the time of placing the order and shall be payable at sight against presentation of documents.
11.2 信用证应允许分批装运和转运，有效期为三周。信用证应在通知行可转让。
11.2 The letter of credit shall allow partial shipments and transshipments and shall be valid for three weeks. The letter of credit shall be transferable at the advising bank.
第12条 交货时间
Article 12 Delivery Time
交货时间应在所有技术手续办结后确定。交货时间自制造商收到确认函的最后日期起算。
The delivery time shall be determined upon completion of all technical formalities. The delivery time shall commence from the later of the dates on which the principal receives the confirmation.
第15条 代理商的佣金
Article 15 Agent’s Commission
15.1 代理商有权收取佣金，作为其在合同期内向区域内客户销售产品的报酬。
15.1 The Agent is entitled to the commission as compensation for his work in selling the products to customers in the territory during the term of this contract.
15.2 佣金数额应根据双方协商一致，在单个项目与客户签订合同前决定并计算。
15.2 The amount of commission shall be decided and calculated on a per-project basis before signing a contract with the customer, as agreed by both parties.
15.3 除非另有书面约定，佣金包括代理商为履行本合同义务而产生的所有费用（如电话、传真、办公费、差旅费等）。
15.3 Unless otherwise agreed in writing, the commission covers any expenses incurred by the Agent in fulfilling his obligations under this contract (such as telephone, fax, office expenses, travel expenses, etc.).
15.4 佣金应根据有效销售价格及发票净额计算（扣除现金折扣以外的所有折扣），不包括任何附加费（如包装、运输、保险）以及任何种类的关税或税款（包括增值税），前提是此类附加费、关税和税款已在发票中单独列明。
15.4 Commission shall be calculated on the net amount of the invoices based on the effective sales price (any discount other than cash discounts being deducted), excluding any additional charges (such as packing, transportation, insurance) and all tariffs or taxes (including value-added tax), provided that such additional charges, tariffs and taxes are separately stated in the invoice.
第16条 售后服务
Article 16 After-sales Service
制造商完成草签营销合同规定的服务条款后，为保证客户满意度和品牌的高价值，代理商有责任并有能力以合格的技术提供产品的售后服务，并自行承担费用。代理商不得以任何借口延误售后服务工作，导致客户投诉。制造商应向代理商提供所有信息产品、软件和详细的操作维护手册，并派遣工程师培训代理商的技术人员。除营销合同另有约定外，制造商为培训代理商技术人员所派遣工程师的所有差旅费用，应由代理商支付。
After the service terms set forth in the initial sales contract have been successfully performed by the Principal, for the purpose of customer satisfaction and the high value of the brand, the Agent shall be responsible and capable of providing after-sales service for the Products with qualified workmanship at its own expense. The Agent shall not delay after-sales service work under any excuse that causes customer complaints. The Principal shall provide the Agent with all information products, software, and detailed operation and maintenance manuals, and shall dispatch engineers to train the Agent’s technicians. All travel expenses incurred by the Principal’s engineers dispatched to train the Agent’s technicians shall be borne by the Agent, unless otherwise agreed in the sales contract.
第17条 进口许可证
Article 17 Import License
17.1 双方了解，根据现行法律，在营销领域内营销和进口产品须获得土耳其政府的认可。
17.1 The Parties understand that, pursuant to applicable laws, the marketing and importation of the Products within the territory require approval from the Turkish government.
17.2 制造商应提供所有政府认可所需的文件，包括特征性商标、主要控件图、操作手册和产品材料质量证明等。
17.2 The Principal shall provide all documents required for government approval, including distinctive trademarks, drawings of main control components, operation manuals, and certificates of material quality of the Products.
第19条 商标和符号
Article 19 Trademarks and Symbols
19.1 代理商可在本合同范围内使用制造商的商标、商品名称和其他任何符号，但仅限用于推广制造商的产品。
19.1 The Agent may use the Principal’s trademarks, trade names, or any other symbols within the scope of this Contract, but solely for the purpose of promoting the Principal’s Products.
19.2 代理商同意，其在营销领域内及其他任何地方均不会注册，也不会促使他人注册制造商的商标、品名和标志，或与之近似的任何标识。
19.2 The Agent agrees that it shall not, and shall not have, registered any trademarks, trade names, or symbols of the Principal (or any marks that are confusingly similar thereto) in the Territory or elsewhere.
19.3 无论因何种原因终止本合同，代理商应根据本条第1款的规定，立即停止使用制造商商标、商品名称或符号的权利。
19.3 Upon the expiration or termination of this Contract for any reason, the Agent’s right to use the Principal’s trademarks, trade names, or symbols as provided in paragraph 1 of this Article shall cease immediately.
19.4 代理商如发现任何侵害制造商商标、商品名称或符号的行为，应通知制造商。
19.4 The Agent shall notify the Principal of any infringement of the Principal’s trademarks, trade names, or symbols that comes to its attention.
